The Terms That Govern Our Working Relationship
A clear explanation of how ordering, payment, revisions, content ownership, and liability work when you use our editing services.
Effective date: January 1, 20261. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website clippingarea.com and the photo and video editing services provided by Clipping Area ("we", "us", "the Company"). By placing an order, submitting files, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our website or services. These Terms apply to all clients, including individuals, businesses, agencies, and studios that order services from us, whether directly or as a white label arrangement.
2. Description of Services
Clipping Area provides professional photo and video editing services, including but not limited to clipping path, background removal, ghost mannequin, image masking, photo retouching, color correction, shadow making, ecommerce photo editing, raster to vector conversion, AI assisted photo editing, and video editing.
Specific scope, pricing, and turnaround for any order are confirmed in writing (email or an agreed quote) before work begins. Service descriptions on our website are for general guidance and may be refined for your specific project during the ordering process.
3. Ordering, Quotes, and Payment
- Orders are placed by submitting images or files along with a project brief, either through our free trial page, contact form, or a direct arrangement with your account contact.
- Quotes are based on the volume, complexity, and turnaround requested. Final pricing is confirmed before work begins, and any change in scope may result in a revised quote.
- Payment terms (upfront, on delivery, or invoiced on account) are agreed per client and stated on your quote or invoice.
- Failure to pay outstanding invoices may result in suspension of ongoing or future orders until the account is settled.
4. Turnaround and Delivery
Standard turnaround times are stated on our service pages and confirmed at the time of quote. Turnaround begins once files, brief, and any required reference materials have been received in full. Delays in providing complete information may extend delivery time.
We will notify you of any expected delay as soon as we become aware of it. Rush and expedited delivery options may be available for an additional fee, subject to current capacity.
5. Revisions and Quality Guarantee
We offer revisions on delivered work to ensure it matches the agreed brief. If a delivered file does not meet the brief you provided, notify us and we will revise it at no additional cost.
Revisions are limited to correcting work against the original brief. Requests that introduce new creative direction, additional services, or scope beyond the original brief may be quoted separately.
6. Your Content and Files
- You retain ownership of the images, video, and other content you submit to us ("Client Content"). We do not claim ownership over your Client Content.
- You are responsible for ensuring you have the necessary rights, licenses, or permissions to submit Client Content to us for editing, and that doing so does not infringe on any third party's rights.
- We will not use your Client Content publicly, in our portfolio, or for marketing purposes without your explicit permission.
- Files are handled according to our Privacy Policy, and non disclosure agreements are available on request for sensitive or unreleased projects.
7. Intellectual Property in Delivered Work
Once an order is paid in full, ownership of the specific edited files delivered to you transfers to you for your intended use. This does not extend to any proprietary tools, techniques, templates, or workflows we use internally to produce the work, which remain our property.
Unless otherwise agreed in writing, we may reference the type or category of work completed (for example, "ecommerce photo editing for a fashion brand") in general marketing without disclosing client identity or confidential content.
8. Use of AI in Service Delivery
We may use AI assisted tools to accelerate certain repetitive steps in the editing process, such as initial background removal or enhancement. Every file is reviewed and finished by a trained human editor before delivery, and AI is never used as a substitute for human quality control.
Your Client Content is not used to train public or third party AI models.
9. Acceptable Use
You agree not to submit Client Content that is unlawful, infringes on third party rights, or that we reasonably believe may expose us to legal liability. We reserve the right to decline or discontinue work on any order that raises such concerns, with notice to you where reasonably possible.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Clipping Area's total liability for any claim arising from these Terms or our services is limited to the amount you paid for the specific order giving rise to the claim.
We are not liable for indirect, incidental, or consequential damages, including loss of business, revenue, or data, arising from the use of our services, except where such limitation is not permitted by law.
We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to internet outages, natural disasters, or third party service failures.
11. Cancellations and Refunds
Orders that have not yet started work may be cancelled with a full refund of any payment made. Once work has begun, we may offer a partial refund reflecting work completed, at our discretion, unless otherwise agreed in your specific service agreement.
Free trial submissions are not eligible for refund since no payment is collected for trial work.
12. Suspension and Termination
We may suspend or terminate services to any client who violates these Terms, fails to pay outstanding invoices, or submits content that violates our Acceptable Use terms. You may stop using our services at any time, subject to settling any outstanding balance for work already completed or in progress.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. Material changes will be reflected by updating the effective date at the top of this page. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles, unless otherwise required by mandatory law applicable to you in your jurisdiction. Any disputes will first be addressed through good faith negotiation between the parties.
